As per the decision by the Court of Appeal, Finsbury Investments which is owned by Dr. Rajan Mahtani is the majority shareholder of Zambezi Portland Cement with 58 percent shares. On the other hand, Ital Terrazzo Limited which is owned by Ventriglias holds 42 percent shares. This shareholding pattern clearly confirms that Dr. Rajan Mahtani is the legal and actual owner of the cement factory with majority shareholdings. With this decision, Justice Mwinde who gave the decision at the Court of Appeal also said that the judge below him was wrong in declaring Ventriglias as only shareholders of Zambezi Portland Cement without having any proof or evidence.
Along with this decision, the judge from the Court of Appeal also cleared many things. Finsbury Investments have claimed a sum of K1 billion with interest on the Zambezi Portland Cement. This claim is made against the payment made in the year 2005 for total share capital issued for Zambezi Portland. This claim of share transfers was further confirmed by the Court of Appeal with evidences of transfers in January 2007 and December 2006. Along with this, details of the share transfers and the shareholding patterns have also been shared by the judge at the Court of Appeal.
